Mamma.com Acquires Copernic Technologies
Mamma.com, Inc. (http://www.mamma.com) has acquired Copernic Technologies, Inc. (http://www.copernic.com) for $15.9 million and the issuance of 2.38 million common shares. Copernic had approximately $5.9 million of revenue and EBITDA (earnings before interest, taxes, depreciation, and amortization) of approximately $1.8 million in its fiscal year, which ended June 30, 2005. The transaction closed Dec. 22, 2005. Copernic chairman Martin Bouchard will join the company as executive vice president and chief strategist and technology officer. Eric Bouchard, Copernic's executive vice president of products, will join the company as vice president of research and development; Albert Dang-Vu, Copernic's vice president of technology, will join the company as vice president of technology.The metasearch engine Mamma.com calls itself "The Mother of All Search Engines." Copernic serves home and business PC users with its Copernic Desktop Search product. (Copernic had previously spun off its enterprise search business as Coveo Solutions.) The companies say they "intend to move quickly to realize the obvious synergies and benefits by integrating Mamma's and Copernic's Web based search capabilities and extending the penetration of Copernic's award-winning desk-top search technology." Mamma.com had been working to acquire Copernic since November 2004. The process was slowed by an SEC inquiry into Mamma.com's stock-trading activities. Source: Mamma.com, Inc.
